Invitation to the 1st open written tender to select an entity that will acquire ownership of land properties located in the municipality of Sulęcin

with its registered office in Kostrzyn nad Odrą
invites you to the 1st open written tender aimed at:
selecting an entity that will acquire ownership of land properties owned by Kostrzyn-Słubice Special Economic Zone S.A., located in the municipality of Sulęcin, with a total area of 12.2928 ha, designated by cadastral plot numbers: 17/2 (area 1.1899 ha), 346/2 (area 5.4920 ha), 346/5 (area 5.6109 ha).
I. The subject of the sale is land properties designated by cadastral plot numbers:
- 17/2, area 1.1899 ha, located in Sulęcin, cadastral precinct Sulęcin I 0046,
- 346/2, area 5.4920 ha, located in Sulęcin - rural area, cadastral precinct 0054 Żubrów,
- 346/5, area 5.6109 ha, located in Sulęcin - rural area, cadastral precinct 0054 Żubrów.
Plots No. 346/5 (area 5.6109 ha) and No. 346/2 (area 5.4920 ha), located in cadastral precinct 0054 Żubrów, were acquired under a sale agreement of 3 October 2025 drawn up in the form of a notarial deed by notary Agnieszka Bachalska - Kolasińska, running a notary office in Gorzów Wielkopolski, Repertory A No. 6412/2025, for which the District Court in Sulęcin, 4th Land and Mortgage Register Division, currently keeps land and mortgage register No. GW1U/00025607/3.
Plot No. 17/2 (area 1.1899 ha), located in cadastral precinct 0046 Sulęcin I, Sulęcin municipality, was acquired under a sale agreement of 3 October 2025 drawn up in the form of a notarial deed by notary Marta Kołodziej, running a notary office in Sulęcin, Repertory A No. 4976/2025, for which the District Court in Sulęcin, 4th Land and Mortgage Register Division, keeps land and mortgage register No. GW1U/00012468/2.
In accordance with the provisions of the above notarial deeds, applications for the establishment of new land and mortgage registers for the above properties (plot No. 17/2 and plots 346/2 and 346/5) have been submitted to the District Court in Sulęcin, 4th Land and Mortgage Register Division. As of the date of announcing the tender, the new land and mortgage registers have not been established.
In accordance with resolution No. XXXIX/247/17 of the Municipal Council in Sulęcin on the local zoning plan of the municipality of Sulęcin for the area located near ul. Lipowa and within the Żubrów precinct, of 12 July 2017 (published in the Official Journal of the Lubuskie Voivodeship, item 1690, of 27 July 2017), the plots designated by cadastral numbers 17/2, 346/2, 346/5 are allocated to a production development area – plan designation P3.
The plots designated by cadastral numbers 17/2, 346/2, 346/5 are not located in a revitalisation area, are not covered by a simplified forest management plan or by the decision referred to in Article 19(3) of the Forests Act, issued by the Sulęcin County Head (Starosta) on the basis of a forest inventory.
The property designated as plot No. 17/2 has access to a public road - county road 1278F (plot 19) via properties owned by the Municipality of Sulęcin (plots designated 17/3 and 17/5, land and mortgage register No. GW1U/00027695/0) - an easement of passage and access on foot and by vehicle has been established for an indefinite period.
A water supply connection runs through the northern part of plot No. 17/2 - a transmission easement has been established for an indefinite period in favour of the Municipality of Sulęcin.
The plot designated No. 17/2 is located in the Kostrzyn-Słubice Special Economic Zone, Sulęcin Subzone.
The land properties designated as plots 346/2 and 346/5 have access to a public road - a county road.
An overhead power line runs across the area of plots designated 346/2 and 346/5.
In the vicinity of plot No. 346/2 there is an archaeological site AZP 50-10/10, which is entered in the National Register of Monuments, and archaeological site No. AZP 50-10/49, which is entered in the Voivodeship Register of Monuments.
In the vicinity of plot No. 346/5 there is an archaeological site No. AZP 50-10/54, which is entered in the National Register of Monuments.
With regard to the properties designated by cadastral plot numbers 346/2 and 346/5, a right of pre-emption is vested in the municipality of Sulęcin pursuant to Article 109 of the Act of 21 August 1997 on Real Estate Management (Journal of Laws of 2024, item 1145, as amended) and in the National Agricultural Support Centre (Krajowy Ośrodek Wsparcia Rolnictwa) pursuant to Article 29(4) of the Act of 19 October 1991 on the Management of Agricultural Property of the State Treasury (Journal of Laws of 2025, item 826, as amended).
With regard to the property designated by cadastral plot number 17/2, a right of pre-emption is vested in the municipality of Sulęcin pursuant to Article 109 of the Act of 21 August 1997 on Real Estate Management (Journal of Laws of 2024, item 1145, as amended).
The described properties are owned by Kostrzyn-Słubice Special Economic Zone S.A. and are not subject to any encumbrances.
II. Price, deposit.
- The starting price of the properties is:
- plot No. 346/2 – PLN 8,781,708.00 gross (in words: eight million seven hundred eighty-one thousand seven hundred and eight zlotys), i.e. net PLN 7,139,600.00 (in words: seven million one hundred thirty-nine thousand six hundred zlotys) plus 23% VAT in the amount of PLN 1,642,108.00 (in words: one million six hundred forty-two thousand one hundred and eight zlotys),
- plot No. 346/5 - PLN 8,971,829.10 gross (in words: eight million nine hundred seventy-one thousand eight hundred twenty-nine zlotys 10/100), i.e. net PLN 7,294,170.00 (in words: seven million two hundred ninety-four thousand one hundred seventy zlotys), plus 23% VAT in the amount of PLN 1,677,659.10 (in words: one million six hundred seventy-seven thousand six hundred fifty-nine zlotys 10/100),
- plot No. 17/2 - PLN 1,902,650.10 gross (in words: one million nine hundred two thousand six hundred fifty zlotys 10/100), i.e. net PLN 1,546,870.00 (in words: one million five hundred forty-six thousand eight hundred seventy zlotys), plus 23% VAT in the amount of PLN 355,780.10 (in words: three hundred fifty-five thousand seven hundred eighty zlotys 10/100),
which amounts to PLN 19,656,187.20 gross in total (in words: nineteen million six hundred fifty-six thousand one hundred eighty-seven zlotys 20/100), i.e. net PLN 15,980,640.00 (in words: fifteen million nine hundred eighty thousand six hundred forty zlotys), plus 23% VAT in the amount of PLN 3,675,547.20 (in words: three million six hundred seventy-five thousand five hundred forty-seven zlotys 20/100).
- The deposit amounts to PLN 5,896,856.16 in total (in words: five million eight hundred ninety-six thousand eight hundred fifty-six zlotys 16/100).
The deposit is forfeited to K-S SSE S.A. if:
- none of the tender participants offers the starting price,
- the bidder whose offer is accepted evades concluding the agreement.
The deposit paid by:
- bidders whose offers are not accepted will be refunded immediately after the selection of the offer,
- the purchaser will be credited towards the price.
The purchaser is obliged to pay the price no later than one business day before the date of concluding the agreement transferring ownership of the property (the date of receipt in the bank account of K-S SSE S.A. is decisive).
A purchaser who fails to pay the purchase price loses the rights arising from the selection of the offer and the deposit paid, as they are considered to be evading the conclusion of the agreement.
III. The condition for participation in the tender is:
1. Submission at the registered office of K-S SSE S.A. (ul. Orła Białego 22, 66-470 Kostrzyn nad Odrą) of a written offer to purchase the property covered by the tender by 17.11.2025 at 10:00 (for offers sent by post, the moment the offer reaches the registered office of K-S SSE S.A. is decisive); The offer should be submitted in a sealed and stamped envelope marked "1st open written tender - Sulęcin plots 17/2, 346/2, 346/5".
The offer is drawn up in writing in Polish. It should contain in particular:
a) the first name and surname or business name, address or registered office of the Bidder;
b) proof of payment of the deposit;
c) the date of drawing up the offer;
d) identification of the property to which the offer relates;
e) a short description of the bidder's planned manner of developing the property;
f) the offered net price;
g) the period for which the bidder is bound by the offer, which may not be shorter than the period specified by the Company in the announcement;
h) a statement by the Bidder that they have read the tender conditions and the "Rules and procedure for the disposal of fixed assets of Kostrzyn-Słubice Special Economic Zone S.A.";
i) the signature of the Bidder or of a person authorised to make declarations of intent on the Bidder's behalf regarding property rights and obligations;
j) an extract from the relevant register or records and other documents confirming the authority of the person signing the offer;
k) consents or permits for the acquisition of the property, in accordance with generally applicable law.
The Bidder is bound by the offer for a period of 30 days from the date of opening the offers.
2. Payment of the deposit in the amount of PLN 5,896,856.16 (in words: five million eight hundred ninety-six thousand eight hundred fifty-six zlotys 16/100). The deposit must be paid in cash to the account of Kostrzyn-Słubice Special Economic Zone S.A. in Kostrzyn nad Odrą (Gospodarczy Bank Spółdzielczy Barlinek, Kostrzyn nad Odrą Branch, 32 8355 0009 0022 3890 2000 0001), by 14.11.2025. The transfer title should read "deposit for the 1st open written tender - Sulęcin plots 17/2, 346/2, 346/5". The date of payment of the deposit is the date on which the bank account is credited.
The tender organiser, immediately after opening the offers, checks whether the bidders have paid the deposit in the proper amount to the account indicated in the announcement.
In addition:
1. The Bidder is obliged to read and accept the "Rules and procedure for the disposal of fixed assets of Kostrzyn-Słubice Special Economic Zone S.A." before entering the tender, which are available on the tender organiser's website https://www.kssse.pl/bip.php?go=950#bip1.
2. The Bidder is obliged to obtain and submit in the tender consents or permits for the acquisition of the property, in accordance with generally applicable law.
IV. The tender will take place on 17.11.2025 at 10:30 at the registered office of Kostrzyn-Słubice Special Economic Zone S.A. in Kostrzyn nad Odrą at ul. Orła Białego 22.
V. Offer evaluation criteria:
1) price,
2) manner of developing the property.
VI. The following may not participate in the tender as bidders: members of the Management Board of K-S SSE S.A. and of its supervisory body, persons entrusted with tasks related to conducting the tender; the spouse, children, parents and siblings of the persons referred to above; persons who are in such a legal or factual relationship with the persons referred to above that it may raise justified doubts as to the impartiality of the person conducting the tender.
VII. The property can be viewed from 31.10.2025 to 14.11.2025, on working days from 09:00 to 15:00, after agreeing the date in advance with the tender organiser.

VIII. Kostrzyn-Słubice Special Economic Zone S.A. has the consent of the Extraordinary General Meeting to dispose of land properties with a total area of 12.2928 ha, located in the municipality of Sulęcin, designated by cadastral plot numbers: 346/2 with an area of 5.4920 ha, 346/5 with an area of 5.6109 ha, 17/2 with an area of 1.1899 ha (resolution No. 23/2025 of 30.10.2025).
The sale of the properties requires the consent of the Supervisory Board of Kostrzyn-Słubice Special Economic Zone S.A. to the selection of the purchaser of the properties. If the Supervisory Board's approval is not obtained, the deposit is refundable.
IX. The conditional sale agreement for the properties will be concluded without delay, no later than within 30 days from the date of opening the offers, and the agreement transferring ownership of the properties – without delay, no later than within 14 days from the date on which the Mayor of Sulęcin waives the exercise, with regard to the properties, of the right of pre-emption vested in the Municipality of Sulęcin pursuant to Article 109(1)(1) of the Act on Real Estate Management, and the Director General of the National Agricultural Support Centre, on behalf of the National Agricultural Support Centre, does not exercise the right of pre-emption in favour of the State Treasury pursuant to Article 29(4) of the Act of 19 October 1991 on the Management of Agricultural Property of the State Treasury, or from the date on which the statutory period for exercising this right expires without effect.
Kostrzyn-Słubice Special Economic Zone S.A. has the right to close the tender at any stage of the proceedings without selecting any of the offers, without giving reasons.
